USER AGREEMENT
This Agreement (“Agreement”) made and effective as the date of acceptance of a User Card (as defined below) by
and between Off Campus Solutions, LLC, and its affiliates, successors and assigns (collectively, “OCS”) and you
(“User”). Acceptance and use of member card, as defined below, constitutes acceptance of this Agreement.
In consideration of the mutual promises contained in this Agreement, and other good and valuable consideration, the
receipt of which is hereby acknowledged, the parties agree as follows:
A. Terms and Conditions Regarding Website Use
The services provided to you by Off-Campus Solutions, LLC (hereinafter “OCS”) are subject to the following terms
and conditions. If you visit or use this website or related sites (collectively “website”), you accept these terms and
conditions. Please read them carefully.
OCS provides certain services to adults who utilize a credit card, debit card, or bank account (via Automated
Clearinghouse – ACH) in the United States of America. If you are under 18 years old, you may use this website only
with involvement and permission of a parent or guardian. OCS reserves the right to refuse service, terminate or
suspend accounts or service, or cancel or reverse transactions at any time in its sole discretion.
Privacy
Please review our Privacy Policy, which also governs your use of this website, in order to understand our practices
with regard to information about you.
Copyright and Trademarks
All content on this website, such as text, terms, graphics, logos, button icons, images, page headers, scripts, service
names and trade dress, is the property of OCS or its content suppliers and along with the selection, arrangement, and

ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS SITE, ANY CREDIT CARD
COMPANY'S NON-AUTHORIZATION OF A USER'S CREDIT CARD PAYMENT, ANY BANKING
INSTITUTION’S FAILURE TO HONOR A PAYMENT FOR ANY REASON, ANY GOVERNMENT OR
OTHER ENTITY'S NON-ACCEPTANCE OF A PAYMENT FROM A PARTY USING THIS SITE OR FOR
DISRUPTIONS IN SERVICE ON THIS SITE, REGARDLESS OF THE CAUSE, INCLUDING (WITHOUT
LIMITATION) DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES. OCS

Other Legal Terms and Conditions
Completion of a payment transaction is contingent upon both the authorization of payment by the applicable card
company or banking institution, and acceptance of your payment by the relevant governmental authority or other
entity you are attempting to pay. In the event that your credit or debit card or ACH (electronic check or e-check)
payment is unable to be processed, OCS will make reasonable efforts to notify you at least once using the contact
information you have provided. In the event your payment is not processed or authorized by your card company or
banking institution, or that your payment in part or whole is canceled or terminated for any reason, or the applicable
governmental authority or other entity you are seeking to pay fails to accept your payment, your payment liability
shall remain outstanding and unpaid and you will be subject to penalties, late fees and interest charges assessed by
OCS and/or the relevant entity thereon, all of which obligations remain your sole responsibility.
OCS reserves the right to make changes to this website (including, without limitation, discontinuing this website or
the services offered on this site) and these Terms of Use at any time, with or without notice. If any of these terms
and conditions shall be deemed invalid, void or for any reason unenforceable, that term or condition shall be deemed
severable and shall not affect the validity and enforceability of any remaining term or condition. OCS may alter or
terminate any promotional campaign related to this website, without limitation, at any time in its sole discretion.
OCS requests that you not use any of the information on this site, including without limitation the e-mail addresses
that are posted here, to transmit, distribute or facilitate the distribution of unsolicited bulk e-mail or other such
advertisements or solicitations to OCS or any of its employees or agents, and any such use of the information on this
site is a violation of the terms of use of this site.
B. Other Terms
1.
OCS is in the business of operating and administering a certain merchant plan (the “Off-Campus Merchant Plan
TM” or “Merchant Plan”) for students, faculty, staff, and alumni of the local University/College who are eligible
to sign this Agreement and participate in the Merchant Plan. In the event a student is the User as identified
above, the parent(s) and/or legal guardian(s) of the student User are necessary party to and signator of the
Agreement and shall also be designated User hereunder.
2.
OCS will, from time to time, designate certain food providers and other merchants in the Merchant Plan, each
of whom is ready, willing and able to accept the User’s Merchant Plan identification, either a separate card
issued by OCS or the University/College’s ID card when activated with the OCS system (“Member Card”) duly
signed on the back by the User, if valid and adequately funded, as payment for merchant services, meals, food
and beverages along with applicable sales taxes and tip for the wait staff. User can ascertain the participating
Merchant Plan merchant by going to OCS’s web site for a list of participating merchants in the geographic
vicinity of a campus or campuses.
3.
User hereby agrees to participate in the Merchant Plan, and agrees to abide by the terms and conditions of this
Agreement. User agrees to complete an enrollment form. User further agrees to fund their participation by
paying to OCS or the University an initial sum by personal check, credit card, or cash. The aforementioned sum
shall appear as a credit balance of available purchasing power for the purchases of services, meals, food and
beverages from participating merchants in the Merchant Plan. Each dollar paid shall equal one dollar of said
purchasing power (each a “Merchant DollarTM”). Collectively, the purchasing power is equal to the sum paid
and is referred to as available Merchant Dollars. Merchant Dollars are not legal tender and may only be spent
by a User at participating Merchant Plan merchants. The amount of merchant Dollars is reflected electronically
as the available balance on the User’s Member Card.
4.
User agrees to use their Member Cards to purchase services, meals, food, beverages or other merchandise or
services at participating Merchant Plan merchants, and User shall present their Member Card for payment,
which Member Card shall be valid for any single transaction in an amount not to exceed the lesser of (a) the
available balance for the User on the Member Card or (b) $75.00 or (c) a “transaction limitTM”, specified in the
enrollment process. Nothing in this Agreement shall suspend, alter or otherwise negate the rules and
regulations of each participating Merchant Plan merchant relative to conduct and procedures within each such
establishment. Upon the exhaustion of available Merchant Dollars, User shall have no purchasing power by and
through the Merchant Plan and User’s Member Card shall be ineffective for purchasing anything until such time
as User pays an additional sum of money for the purchase of additional Merchant Dollars. User shall and
hereby does agree to pay to OCS that sum of money equivalent to desired Merchant Dollars by credit card or by
valid personal check.
5.
Each User of a Member Card as a participant in the Merchant Plan is subject to the following restrictions:
a.
Purchasing Power is limited to available, fully paid Merchant Dollars.
b.
Lost of stolen Member Cards must be reported to OCS immediately. User is liable for any and all
charges made by use of the Member Card by any individual other than User until such time as the
Member Card is reported lost or stolen and OCS deactivates the Member Card.
6.
The undersigned User(s) is solely responsible for the gross amount spent at any particular participating
Merchant Plan merchant and all signators hereto are jointly and severally liable for any and all sums due and
owing to OCS pursuant to this Agreement. Upon exhaustion of this initial balance of Merchant Dollars, or at
any time at User’s discretion, User may replenish the balance of Merchant Dollars by making payment of a sum
chosen by User to OCS by credit card or valid personal check (there is a $25.00 fee for dishonored checks),
which sum once duly paid will be translated into additional Merchant Dollars available on the Member Card.
Additionally, User agrees to the following terms and conditions:
a. In the event, for whatever reason, that User exceeds their available Merchant Dollar balance, User
agrees to reimburse OCS for the amount of any overdraft or other expenditure which exceeds the
available Merchant Dollars in the account, including the sum of any dishonored check. If a credit card
has been provided to OCS for Merchant Dollar purchases, User hereby authorizes OCS to charge said
credit card for this amount. In the event a credit card has not been provided, User agrees to pay
invoices issued by OCS for any overdraft amount, along with reasonable fees and expenses involved in
the collection of said overdraft.
b. User agrees to be responsible for auditing and checking any and all charges made against the Member
Card. User agrees to report any unauthorized activity within a maximum of fifteen (15) days from date
of charge. The charges can be reviewed on line at any time or can be obtained upon request made in
writing to OCS, or by calling OCS at 1-866-512-DINE. It is understood such statements are not
automatically provided by OCS to User. OCS reserves the right to contest any allegations of
unauthorized usage.
c. OCS reserves the right in its sole discretion to issue bonus Merchant Dollars based upon the volume of
Merchant Dollars purchased and spent by any particular User. Bonus Merchant Dollars shall not be
refundable for cash.
d. OCS reserves the right to terminate this Agreement at any time in writing and upon termination OCS
will refund the unspent balance of Merchant Dollars available on Users Member Card within thirty
(30) days. User may terminate this Agreement at any time in writing and User shall receive a refund of
the unspent balance of Merchant Dollars available on Users Member Card less a $15.00 one-time
cancellation fee for administrative expenses, within thirty (30) days.
e. OCS reserves the right to levy the following account management charges:

An enrollment/card issuance fee of $25.00
Account management charge of $5.00 per month for accounts that have been dormant for
greater than one hundred twenty (120) consecutive calendar days. After a period of dormancy
of one hundred eighty (180) consecutive calendar days, dormancy charges may be increased
to $10.00 per month
A lost card fee of $12.00
iv. A fee of $25.00 for any check returned due to insufficient funds
f. If any Member Card is inactive and not used for a period of one hundred twenty (120) consecutive
calendar days, the User account shall be deemed dormant and OCS shall have the right to account
management charges as specified above.
7.
OCS shall not be liable to User for loss, costs, or damages arising out of, or resulting from, any failure to
perform in accordance with the terms of this Agreement where such failure shall be beyond the responsible
control of OCS. Any modification of this Agreement or additional obligation assumed by either party in
connection with this Agreement shall be binding only if in writing and signed by each party.
8.
Palm Desert National Bank (“PDNB”), a federally chartered bank located in Palm Desert, CA has been selected
by OCS to handle all banking transactions involving the OCS program. User acknowledges and agrees that
OCS will deposit User’s money into a custodial account at PDNB.
This Agreement shall be interpreted, construed, applied and enforced in accordance with the laws of the
Commonwealth of Pennsylvania.
ACCEPTANCE OF AN OFF CAMPUS SOLUTIONS ACCOUNT CONSTITUTES ACCEPTANCE OF THE
ABOVE TERMS AND CONDITIONS
OFF-CAMPUS DINING NETWORK, LLC ("OCDN")
We understand that our customers, Users and holders of our Member Cards need to be
in control of their personal information. This policy explains how and why we collect
information from you and how we use it. Our policies and systems are designed to give
you a private, secure means of communicating with us and using the services of our
site.
1. Sites and Services to Which this Policy Applies.
This statement describes the privacy practices for all current and future OCDN web
sites and services.
We may share the information you provide when you join our meal option with any
other OCDN sites or related services providers, including restaurants, since it will make
your visits to our sites easier. Any reference to "we," "us," or "OCDN" in this policy
applies to all these web sites and services.
2. Information You Provide to Us When We Collect Information From You.
We may ask you for personal information when you join our meal option, visit our web
site, enter a contest or sweepstakes, complete surveys, or ask us for additional
information.
We collect personally identifiable information from you only when you voluntarily
submit it. Providing personally identifiable information (other than that information
required to become a Meal Option User) is not required for using our site. If you
choose not to provide your personal information, you can still visit our site, but you will
not be able to join it, and you will not be able to enroll in the meal option.
OCDN may occasionally present a special contest or promotion sponsored by OCDN or
by another company. We may ask you to provide personal information to qualify for
entry. If we plan to share that information with the sponsor(s), we'll let you know
when we ask for the information. We may use your personal information to "fulfill"
(e.g., to deliver a prize should you be a winner), in which case we may share your
information with an outside vendor that delivers your prize.
In case you change your mind or some of your personal information changes (such as
your phone number or ZIP code), you can access all your personally identifiable
information that we collect online and maintain by editing your "Account Info." and
"Payment Center" pages. You can correct your information, including changing your
password, by entering the corrections directly on the form. To protect your privacy and
security, we take reasonable steps to verify your identity before granting access or
accepting corrections.
What Information We Collect.
Our site's "Sign-up" pages require you to give us contact information (such as your
first name, last name, e-mail address, user name, and area (school) of attendance).
We also collect optional demographic information such as other interests and referral
source.
The sign-up pages require you to give us all the information required by the sign-up
pages, in addition to credit card information, physical address (street address, city,
state, zip, country), daytime phone, date of birth, and gender. You may also elect to
provide your evening phone number, fax number, and other related information.
You may also elect to provide referral information (including name, e-mail address, and
school).
If you're under 18 years of age, we'll also ask you to provide your parent's or
guardian's e-mail address, as well as certain identifying parent or guardian data. (A
separate section of this privacy statement specifically addresses our privacy policies for
Children Under Age 13.)
How We Use the Information You Give Us.
We use customer contact information from the Account Info pages to send you
information about our company and its subsidiaries and to send you promotional
material from some of our affiliates. Customer contact information is used by our
internal departments and subsidiaries to develop and refine our products and services.
We also use your contact information to contact you when necessary, and we share it
with other companies who may want to contact you.
We use the personal information you provide us to tailor the provisions of meal option
service to your current and future needs.
We also use visitor login information to help us ensure that our members only see and
use appropriate areas of our web sites.
We may collect financial information to check your qualifications for registration and to
bill you for products and services. We use your financial information, including credit
card information to verify your name, address, and other information, as well as to bill
you for your use of our services.
We use referral information to send those individuals you refer information about our
company or our subsidiaries, as well as promotional material from our affiliates. This
information may be aggregated and used by our internal departments to develop and
refine our products and services. This information may be shared with other companies
who may want to contact referred individuals. If you provide us with your mailing
address or telephone number, we and our affiliates may use this information to alert
you to meal option upgrades, special offers, updated information, and new services. If
you provide your e-mail address, we may contact you via e-mail as well.
In addition, in connection with an assignment, sale, joint venture, or other transfer or
disposition of some or all assets of OCDN, or its affiliated entities, you agree that we
can accordingly assign, sell, license, or transfer to third parties any information,
including personally identifying information, you have provided to us.
OCDN may disclose your information in special cases when we have reason to believe
that doing so is necessary to identify, contact, restrain or bring legal action against
someone who may be causing (intentionally or unintentionally) injury to or interference
with OCDN's rights or property, other OCDN visitors or Users, or anyone else who
could be harmed by such activities.
OCDN may disclose your information when we believe in good faith that the law
requires us to do so.
3. General Information About Visitors to Our Site.
Aggregate Information.
OCDN shares aggregate information about our visitors and members with business
affiliates, sponsors, and other third parties. For example, we may say that "x" number
of individuals have joined our meal option at a particular college or university, or that
"y" number of men and "z" number of women have joined in a certain state or at a
certain college or university. We use this information to customize our content and
programs to deliver a better experience for our visitors and Users, We do not,
however, disclose anything that could be used to identify these individuals.
Cookies.
The use of cookies is common in the Internet industry; you'll find them used on our
web sites, as you will at other major sites. "Cookies" are small text files written to your
computer. They make our web sites easier for you to use because they save your
preferences while you're at our site. Cookies also help us know which areas are your
favorites, which need a bit of improvement, and what technologies and Internet
services our visitors are using. Knowing this information helps us continually improve
the online experience for our visitors and members.
Cookies allow us to personalize and enhance your OCDN experience. They help us
store and save information so that you're not constantly re-typing things like your
occupation and interests, or your password; we also use cookies to deliver customized
information that relates directly to your dining preferences. As a result, if you decline a
cookie, you will have difficulty using the OCDN site. If you disable cookies via your
browser preferences, some features of our web site won't work properly or may be

We never use cookies to retrieve information from your computer that we didn't
originally send you in cookie form. Except as described below, we don't use

nor do we share that information with any third party. Further, a cookie will not permit

IP Addresses.

aggregate information to certain advertisers, sponsors, and affiliates; and to audit the
use of our site. When visitors request pages from OCDN sites, our servers log the

identifiable. This means that a visitor's session will be logged, but the visitor remains
anonymous to us. We can and will use IP addresses to identify a visitor when we feel it
is necessary to enforce compliance with our rules or terms of service or to protect our
service, site, Users, customers, or others.
Some features of OCDN may display IP addresses along with the visitor's name and
message. You should review each feature prior to use and only use those that disclose
information you're comfortable sharing.
Electronic Postcards.
We give visitors the option to send "electronic postcards." We ask you to submit the email
address of your intended recipient so that we can send the postcard to them for
you. We don't store your recipient's e-mail address in retrievable form, and we don't
use it for marketing or any other purpose beyond delivering the electronic postcard at
your request.
4. Links to Other Sites.
You'll find links from OCDN sites to independently owned, controlled, and/or managed
web sites whose content we believe will be of possible interest and value to our visitors
such as participating restaurant web sites. Additionally, you'll see links from
advertisers, sponsors, and other affiliates who may use OCDN's logo as part of a cobranding
agreement.
In many cases, these links represent cooperative projects or mutual links established
with the restaurants or other related providers of services connected with these sites.
We don't control the content of these links. These other sites may send you their own
cookies, collect data, or solicit personal information. While we identify sponsor and
advertiser areas of our web sites, we do not control these cookies or the content
provided by these third parties.
Once you leave our servers (you can generally tell where you are by checking the URL
in the location bar on your browser), the use of any information you provide is
governed by the privacy policy of the operator of the site you're visiting. OCDN is not
responsible for the privacy practices or the content of such sites.

5. Security.
The importance of security for your personally identifiable information is of utmost
concern to us. We have physical, electronic and managerial procedures in place to
assist us in providing secure transmission of your information from your PC to our

secure. As a result, while we strive to protect your personal information, we can't and
don't ensure or warrant the security of any information you transmit to us and you do
so at your own risk.
OCDN accounts are all password protected so that only authorized members are
permitted to access them or view the User information relevant to the account. We
recommend that you do not divulge your password to anyone. OCDN will not ask you
for your password in an unsolicited phone call or e-mail. Ultimately, you are
responsible for maintaining the secrecy of your password(s) and any account
information.
Remember to sign out of your OCDN password-protected account and close your
browser window when you have finished. This ensures that others cannot access your
personal information and correspondence if your computer is accessible to others, if
you share a computer with someone else, or if you are using a computer in a public
place, such as a library or Internet café.
Keep in mind that whenever you give out personal information online that information
can be collected and used by people you don't know. While OCDN strives to protect its
visitors' personal information and privacy, we cannot guarantee the security of any
information you disclose online, and you disclose such information at your own risk.
OCDN's privacy policy does not extend to anything inherent in the operation of the
Internet that is beyond our control, and it is not to be applied in any manner contrary

6. Policies for Children Under Age 13.
OCDN and its affiliated web sites encourage parents and guardians to be involved with
and aware of their children's online experience. OCDN does not track age information
on its Users, thus, Users, customers or any person under 13 years of age shouldn't
submit or post information at OCDN web sites without the consent of their parent or
guardian.
Any User who may be under the age of 18 is not to register or participate in the OCDN
web site or the Meal Option without a parent or guardian when they register at our site
or for our Meal Option.
7. Choice/Update.
You can access all of your personally identifiable information that we collect online and
